Car wash closing adjustments: reconcile working capital and cutoff

Track agreed balance destinations, estimated and final amounts, and the price difference without duplicating customer obligations or seller debt.

A headline price does not settle which stock, receivables, prepayments or operating liabilities transfer. Start with the purchase agreement's definitions, then reconcile a cutoff schedule. This method helps both sides see how an estimate changes when final evidence arrives.

Closing-adjustment and cutoff workbook

Record estimated and final balances under one agreed definition. Unresolved classifications or amounts withhold a combined adjustment; known subtotals remain labeled.

Cutoff balances and separate agreed adjustments

Add entries as needed; unused completely blank entries are ignored. Use unique non-sensitive IDs. An empty amount is not zero.

Establish the agreed mechanism before calculating

Some agreements use a working-capital target; others specify individual assets and liabilities or another mechanism. This tool combines a target-based adjustment only when you confirm that mechanism. It does not impose working capital on an asset deal or derive a normal target from revenue.

Document the accounting basis, included accounts, valuation policies, cutoff instant, estimates, review process and disagreement procedure. The same account can be treated differently under different negotiated structures. A negative target can be intentional; it needs the same clear definition as a positive one.

An original SEC-filed car-wash equity agreement illustrates estimated and final statements with consistent accounting policies. It is a large, partly redacted equity transaction, not model terms for a small-business asset sale; do not borrow its deadlines or escrow limits. Separate activity verification from ownership cutoff

A merchant batch may relate to washes before closing and settle afterward. Follow transaction dates, refunds, tax, processor fees, settlement records and the agreement's allocation. The bank deposit date alone does not decide which party owns the money or assumes a refund.

Use the worked POS and bank case to investigate recorded activity. Here, identify what the agreement transfers and how that balance affects price. Never add the same settlement as both a receivable and bank cash unless the reconciliation supports two distinct amounts.

Classify stock and customer obligations deliberately

For chemicals and merchandise, retain quantities, count date, ownership, usable condition, valuation basis, returns and consignment questions. An invoice is not proof of stock still present. For prepaid products, distinguish billing, earned revenue, remaining service and the parties' negotiated liability value. Face value, accounting liability and cost to serve need not be identical.

DestinationMeaning in this workbook
Included working capitalAsset or liability, using the agreed sign and basis
Separate signed adjustmentOne other agreed price effect outside working capital
Debt/cost elsewhereRetained in another bridge; no WC effect here
ExcludedNo price effect here, with a reason/reference
UnresolvedWithholds a combined adjustment until classified

Every obligation gets a unique ID and one destination. Preserve contra-account signs. If a customer service obligation is inside working capital, do not deduct it again as separate debt-like consideration or in seller proceeds. If the agreement reclassifies it, show the revision consistently rather than moving only one side.

Work the estimate and final case

The fictional estimate includes $18,000 settlements, $22,000 usable stock and $7,000 transferable prepaid costs. Subtract $8,000 payables and a $2,000 agreed customer obligation: defined working capital is $37,000. Against a $55,000 agreed target, the price adjustment is −$18,000.

Final stock becomes $24,000 and the customer obligation $3,000; other amounts stay fixed. Final working capital is $38,000 and adjustment −$17,000. The additional final-versus-estimated amount to the seller is $1,000. The estimate's −$18,000 links to the seller offer case; these are invented classifications, not prescribed valuation policies.

Defined WC = included assets − included liabilities
Combined adjustment = defined WC − agreed target + other signed adjustments
Additional final amount = final adjustment − estimated adjustment

Excluded bank cash of $35,000 and seller debt paid elsewhere do not change these WC amounts. Blank final amounts remain unresolved; the tool shows known subtotals but withholds the final combined result. “Evidence recorded” is your status, not verification by the website.

Keep tax, funds and operating handoff separate

New York's buying-a-business guidance identifies bulk-sale notice, operator registration and asset/property-tax responsibilities. Coordinate those with the tax and closing professionals. A balanced adjustment workbook neither satisfies the department's process nor authorizes payment or possession. NYS Department of Taxation and Finance: Buying a business.

Prorations should use a reviewed dollar amount and agreed day-count convention. Do not assume who owns the closing day, which tax period applies or whether a prepaid contract transfers. Keep invoices, notices, lease terms and allocation decisions in the authorized deal file.

Connect the accepted adjustment to seller proceeds and buyer funding; opening operating cash belongs in runway planning. Assign post-close reconciliations, provider changes and acceptance in the operating handoff. The accountant/counsel own definitions; the editor reviews this framework quarterly.

Questions before using the result

Does every asset purchase require a working-capital target?

No. Read the actual agreed structure and mechanism. This workbook requires confirmation before combining a target-based result.

Can I subtract a membership obligation twice to be conservative?

No. Assign one obligation one agreed destination; a duplicated deduction distorts the bridge.

Why is the final adjustment unknown?

A target, method confirmation, included amount or classification remains unresolved. Missing evidence does not become a zero balance.

Connect operating evidence and the next decision

Merchant statement reconciliation. Keep periods and definitions consistent when manually carrying results between tools.
