Use this guide to frame the decision

A New York City acquisition should be supported by records for the actual business and parcel. Start with operating results, site control, physical condition and the authority responsible for each approval. Regional labels do not establish an appropriate asking price, a financing decision or the demand at a driveway.

Begin with the operation and the borough

Record the premises, borough, legal operator and every service provided. A staffed hand wash, an express tunnel, a mobile operation and a customer-operated facility raise different practical questions. Do not infer the approval path from the words “car wash” on a listing.

DCWP publishes a car wash licensing checklist and exceptions, including a stated exception for facilities where customers rather than facility employees clean vehicles. Check the model with DCWP and obtain the actual license record, holder, conditions and ownership-change instructions. A seller’s license and a signed purchase agreement do not establish the buyer’s authority to operate.

Site control can change the acquisition economics

For a leased site, obtain the complete lease, amendments, assignment requirements, renewal options, notice dates, guarantees and operating restrictions. Read the permitted-use language against detailing, interior services, vending and any proposed changes. Model actual rent and additional charges, then obtain the landlord response needed for the proposed structure. Do not assume a renewal option is transferable or available without conditions.

For owned property, separate business value from real-estate assumptions. NYC Finance has different transfer-tax schedules for residential and other transfers; obtain an adviser’s transaction-specific calculation rather than applying a residential rate to a commercial parcel. City and state taxes are separate questions.

Observe access and throughput at the actual site

Visit during different operating periods. Record entrances, exits, turning restrictions, stacking, sidewalk crossings, delivery access, vacuum or finishing capacity and queues. A busy street does not prove usable access or wash demand. Compare observations with approved plans and the operating records. Review noise, hours and any site-specific conditions through the appropriate professional.

Trace wastewater and historical use

Request the approval covering the actual discharge destination and the related inspection and maintenance records. Direct discharge, a municipal sewer connection and stormwater are different tracks. Historical fuel or vehicle-service use also deserves the environmental professional’s attention. Treat permit compliance and contamination investigation as separate evidence questions.

DecisionEvidence to bring to the review
Is the revenue supported?Monthly POS, membership billing, processor and bank records with report definitions
Does the operating plan work?Staff roster, owner duties, utility and vendor bills, equipment servicing and capital projects
Can the buyer control the site?Lease and consent terms, or title/property review, approved use and site plans
Can the proposed transaction close?Authority requirements, lender conditions, tax coordination and adviser decisions

Make the next conversation specific

For a buyer, prepare the budget, intended owner role, preferred format, financing stage and the site or region being evaluated. For an owner, start with the format, property or lease position, available financial records and timing. An initial discussion can identify the next evidence to gather without publishing the identity of a confidential business.
